ShoutEx is operated from Waterloo, Ontario, Canada. These Terms govern all use of ShoutEx websites, SaaS platforms, mobile applications, browser extensions, and marketing or advisory services.
By using any ShoutEx offering, you agree to these Terms.
1. Scope of Services
ShoutEx provides:
- Marketing and advisory services (strategy, SEO, content, growth)
- Software tools, SaaS platforms, extensions, and applications
Services may be delivered via separate proposals, statements of work, or subscriptions.
2. No Guarantee of Results
All services are provided on a best-effort basis.
ShoutEx does not guarantee outcomes, including:
- Revenue, leads, or conversions
- Search rankings or traffic
- Business performance or growth
Past performance is not indicative of future results.
3. Fees, Billing, and Payments
- Fees are defined in proposals, subscriptions, or invoices
- Payment terms are binding once accepted
- All payments are non-refundable unless explicitly stated
- Late payments may result in suspension or termination
- Client is responsible for all taxes unless stated otherwise
4. Client Responsibilities
Client agrees to:
- Provide accurate information and required access
- Respond in a timely manner for approvals and feedback
- Maintain control over their own business decisions
ShoutEx is not responsible for delays or performance issues caused by client inaction or incorrect inputs.
5. Intellectual Property
- ShoutEx retains ownership of all underlying systems, frameworks, methodologies, and tools
- Upon full payment, client is granted a non-exclusive license to use deliverables
- ShoutEx may reuse non-confidential learnings, structures, and approaches
6. Confidentiality
Both parties agree to protect confidential information and not disclose it without consent, except where required by law.
7. Data, Privacy, and Integrations
- ShoutEx may process data to deliver services and improve systems
- Use of third-party tools (e.g. analytics, ad platforms) is at client’s risk
- ShoutEx is not responsible for third-party outages, breaches, or data handling practices
- Client is responsible for ensuring they have rights to all data provided
8. SaaS and Platform Use
For software, apps, and extensions:
- Access is provided “as is” and may change at any time
- Accounts may be suspended for misuse, non-payment, or policy violations
- No guarantee of uptime, availability, or feature continuity
9. Acceptable Use
You may not:
- Violate laws or regulations
- Reverse engineer or misuse systems
- Interfere with service integrity or security
10. Termination
- ShoutEx may suspend or terminate services at its discretion
- Client may terminate based on agreed terms
- All outstanding fees remain payable
- No refunds for completed or in-progress work
11. Limitation of Liability
To the maximum extent permitted by law:
- ShoutEx is not liable for indirect, incidental, or consequential damages
- Total liability is capped at the amount paid by the client in the previous 3 months
12. Indemnification
Client agrees to indemnify and hold harmless ShoutEx from any claims arising from:
- Use of services
- Client data or materials
- Violation of these Terms
13. Service Modifications
ShoutEx may modify, suspend, or discontinue any service at any time without liability.
14. Governing Law and Dispute Resolution
- Governed by the laws of Ontario, Canada
- All disputes shall be resolved through binding arbitration in Waterloo, Ontario, Canada
- Class actions are not permitted
15. Entire Agreement
These Terms, along with any proposal or agreement, form the full understanding between both parties.
